1. Acceptance of Terms

By accessing or using the BotSphere platform (the "Service") operated by Datatech Co.,Ltd. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including account administrators, team members, and end-users interacting through connected channels.

2. Service Description

BotSphere is an AI-powered omnichannel chatbot platform that enables businesses to manage customer communications across multiple messaging channels, including LINE Official Account, Facebook Messenger, Telegram, and WhatsApp, from a single dashboard. The Service includes AI chatbot automation, broadcast messaging, rich menu management, analytics, and team collaboration features.

3. Account Registration and Responsibilities

To use the Service, you must:

  • Register for an account with accurate and complete information.
  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately of any unauthorized access to your account.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Send spam, unsolicited messages, or bulk messages that violate applicable laws.
  • Transmit harmful, abusive, harassing, defamatory, or illegal content.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Attempt to gain unauthorized access to any part of the Service or related systems.
  • Use the Service for any purpose that violates applicable laws or regulations.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers) to access the Service without our written permission.

5. LINE API Compliance

BotSphere integrates with the LINE Platform through the LINE Messaging API, LINE Login, and LIFF (LINE Front-end Framework). By using the Service with LINE channels, you agree to:

  • Comply with the LINE Official Account Terms of Use and all applicable LINE Platform policies.
  • Comply with the LINE User Data Policy regarding the collection, use, and storage of LINE user data.
  • Not use LINE user data for purposes other than providing services through your connected LINE Official Account.
  • Not share, sell, or transfer LINE user data to unauthorized third parties.
  • Ensure that your use of broadcast messaging complies with LINE's anti-spam policies and messaging guidelines.
  • Maintain a publicly accessible privacy policy that discloses your use of LINE user data.

Violation of LINE Platform policies may result in suspension of your LINE channel integration and/or termination of your BotSphere account.

6. Payment and Billing

  • The Service offers subscription plans with monthly billing. Prices are listed in Thai Baht (THB) and are subject to change with prior notice.
  • Payments are processed through our authorized payment providers. You agree to provide accurate billing information.
  • Subscription fees are billed in advance on a monthly basis. Add-on purchases (e.g., broadcast credits) are billed at the time of purchase.
  • Refunds are handled on a case-by-case basis. Generally, subscription fees are non-refundable once the billing period has begun.
  • We reserve the right to suspend the Service if payment is overdue.

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Datatech Co.,Ltd. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

You retain ownership of the content you create and upload to the Service (e.g., chatbot configurations, knowledge base content). By using the Service, you grant us a limited license to process and display your content as necessary to operate the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in our Privacy Policy.

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible).
  • Emergency maintenance to address security or stability issues.
  • Factors beyond our control (e.g., third-party service outages, force majeure).

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim.
  • We are not liable for any losses resulting from third-party service interruptions (including LINE Platform, Facebook, Telegram, or WhatsApp outages).

11. Termination

Either party may terminate the use of the Service:

  • You may cancel your account at any time through the dashboard settings.
  • We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow data export, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Thailand.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
